1. General
These Terms and Conditions of Sale (“Terms”) govern all purchases made through FOO.shop, operated by Fibre Optic Only Inc. (“FOO”, “we”, “us”, or “our”).
By placing an order, you agree to be bound by these Terms.
These Terms apply to all customers, including individuals, businesses, and resellers.
2. Product Information and Compatibility
- All products are intended for professional, commercial, or technical use unless otherwise stated.
- Product specifications, compatibility, and performance characteristics are provided for reference only and may change without notice.
- It is the customer’s responsibility to ensure compatibility with their systems, equipment, and applications.
FOO does not guarantee compatibility with specific OEM equipment unless explicitly stated. This includes, but is not limited to, optical transceivers, due to the wide range of OEM firmware versions, hardware platforms, and implementation variations.
3. Pricing
- Prices are subject to change without notice.
- Applicable sales tax, VAT, or similar taxes will be applied as required by law.
- Shipping, duties, and brokerage fees are not included unless explicitly stated.
4. Orders
- All orders are subject to acceptance and product availability.
- FOO reserves the right to:
- Cancel or refuse any order
- Limit quantities
- Correct pricing, listing, or typographical errors
Once fulfillment has begun, orders may not be modified or cancelled.
5. Payment Terms
- Payment is required at the time of purchase unless a credit account has been approved in writing.
- Accepted payment methods include credit card and other methods made available at checkout.
For approved business accounts:
- Payment must be made in accordance with agreed terms
- Late or unpaid balances may result in order delays, account suspension, or collection action
6. Shipping and Delivery
- Orders are shipped from warehouse locations in Canada and/or the United States.
- Delivery timelines are estimates only and are not guaranteed.
Risk of loss transfers to the customer upon shipment or transfer to the carrier.
FOO is not responsible for:
- Carrier delays or service disruptions
- Customs processing delays
- Incorrect or incomplete shipping information provided by the customer
7. Duties, Taxes and Import Compliance
For international shipments:
- The customer is responsible for all import duties, taxes, and compliance requirements, unless these charges are pre-calculated and collected at checkout for supported destinations.
- The customer acts as the Importer of Record unless otherwise agreed in writing.
FOO is not responsible for customs delays, rejections, or additional charges incurred during import.
8. Backorders and Partial Shipments
- Items may be placed on backorder if inventory is unavailable at the time of purchase.
- FOO may, at its discretion:
- Ship available items immediately and backorder the remainder
- Hold the order until all items are available
Estimated availability dates are not guaranteed and may change due to supply chain conditions.
FOO shall not be liable for delays related to backordered items.
9. Returns
All returns are governed by FOO’s official Returns Policy.

All return requests must follow the RMA process outlined on that page. FOO reserves the right to refuse returns that do not comply with the published policy.
10. Warranty
All products are covered under the FOO Lifetime Warranty, as outlined in FOO’s official Warranty Policy.

Warranty claims must follow the process defined in that policy. FOO reserves the right to evaluate and resolve all warranty claims in accordance with the published terms.
11. Technical Advice and Support
Any technical guidance, recommendations, or compatibility suggestions provided by FOO:
- Are offered in good faith
- Are for general informational purposes only
- Do not constitute engineering, design, or professional advice
Customers are solely responsible for validating product suitability in their specific environment and application.
12. Data Center and Mission-Critical Use Disclaimer
Products sold by FOO may be used in data center, telecommunications, enterprise, or other mission-critical environments.
However:
- FOO does not guarantee uninterrupted operation or suitability for any specific mission-critical application
- Redundancy, failover, and system design are the sole responsibility of the customer
FOO shall not be liable for:
- Network downtime
- Service interruptions
- Data loss
- Business or operational impact resulting from product failure or incompatibility
13. Limitation of Liability
To the maximum extent permitted by law:
FOO shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of revenue, profit, data, or business opportunity
- Downtime or service interruption
FOO’s total liability shall not exceed the purchase price of the product giving rise to the claim.
14. Intellectual Property
All content on FOO.shop, including but not limited to:
- Product images and photography
- Graphics, branding, and visual assets
- Product descriptions and written content

These trademarks, brand elements, and materials may not be used, reproduced, or distributed without prior written consent.
Third-party trademarks, logos, and brand names are the property of their respective owners and are used by FOO with permission or for compatibility or reference purposes only.
15. Force Majeure
FOO shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:
- Natural disasters
- Supply chain disruptions
- Labor shortages
- Transportation failures
- Government actions or regulations
16. Governing Law
These Terms shall be governed by and construed in accordance with:
- The laws of the Province of Ontario, Canada
- Applicable federal laws of Canada
Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
17. Changes to Terms
FOO reserves the right to update or modify these Terms at any time without prior notice.
The version in effect at the time of purchase applies to that order.
